Terms and Conditions

1. Definitions

In these Terms and Conditions, the following definitions apply:

"Training Post" refers to Can Studios Ltd., the provider of the Training Post learning management system.

"Referrer" means any individual or organisation who introduces a potential customer to Training Post under this referral program.

"Referred Provider" means a business entity that is introduced to Training Post by a Referrer and subsequently becomes a customer.

"Successful Referral" means a referral that meets all qualification criteria specified in these terms.

"Referral Bonus" means the fixed payment of £285 offered for each Successful Referral.

2. Program Eligibility

2.1 The referral program is open to any individual or organisation, including but not limited to existing Training Post providers, industry professionals, and business partners.

2.2 To participate, Referrers must:

a) Complete and submit the Training Post Referral Agreement

b) Provide accurate and complete information about themselves and the potential customer

c) Disclose any relationship or affiliation with the referred company

d) Be legally capable of entering into binding contracts

3. Referral Qualification

3.1 To qualify as a Successful Referral, the following criteria must be met:

a) The Referred Provider must not have been in active discussions with Training Post in the six months prior to the referral

b) The Referred Provider must become a paying customer of Training Post

c) The Referred Provider must remain an active customer for a minimum of three months

d) The Referred Provider must establish at least one client portal within the platform

3.2 Training Post reserves the right to determine, in its sole discretion, whether a referral qualifies as a Successful Referral.

4. Referral Process

4.1 All referrals must be registered with Training Post before any formal engagement between Training Post and the potential customer.

4.2 Referrers must:

a) Register each referral through the designated process

b) Obtain permission from the potential customer to share their information

c) Provide basic introduction or connection to the prospect

d) Respond to reasonable requests for additional information from Training Post

4.3 Training Post will confirm receipt of each referral registration within five business days.

5. Compensation

5.1 The Referral Bonus for each Successful Referral is £285.

5.2 Payment terms:

a) Payment will be made after the Referred Provider has been active for three months

b) For existing Training Post providers, the bonus may be applied as credit to their account

c) For other referrers, payment will be made by invoice

d) Payment will be processed within 30 days of qualification

5.3 All tax implications and reporting requirements related to referral payments are the responsibility of the Referrer.

6. Multiple Referrals

6.1 In cases where multiple parties refer the same potential customer, the first properly registered referral will be honoured.

6.2 Training Post's determination regarding referral attribution will be final and binding.

7. Program Changes

7.1 Training Post reserves the right to:

a) Modify these terms and conditions at any time

b) Change the Referral Bonus amount with 30 days notice

c) Discontinue the referral program with 90 days notice

7.2 Any changes will not affect Successful Referrals registered prior to the change.

8. Limitations and Restrictions

8.1 Training Post reserves the right to reject any referral that:

a) Violates any law or regulation

b) Creates a conflict of interest

c) Is deemed inappropriate or not in good faith

8.2 Referrers must not:

a) Make any representations about Training Post's services beyond provided materials

b) Engage in any deceptive or misleading practices

c) Violate any applicable laws or regulations

d) Infringe on Training Post's intellectual property rights

9. Data Protection and GDPR Compliance

9.1 Training Post processes all personal data in accordance with UK GDPR requirements.

9.2 Referrers must:

a) Obtain explicit consent before sharing personal data

b) Only share necessary personal information

c) Inform prospects their data will be shared with Training Post

9.3 Training Post will:

a) Process personal data only for specified purposes

b) Retain data for no longer than necessary

c) Protect data rights of all individuals

d) Provide privacy information upon request

10. Confidentiality

10.1 Referrers must maintain the confidentiality of any non-public information received about Training Post or potential customers.

10.2 This confidentiality obligation survives the termination of participation in the referral program.

11. Termination

11.1 Either party may terminate participation in the referral program with written notice.

11.2 Training Post may terminate a Referrer's participation for:

a) Violation of these terms

b) Engaging in deceptive practices

c) Damaging Training Post's reputation

d) Any other reasonable cause

11.3 Termination does not affect qualified referrals registered prior to termination.

12. Liability

12.1 Training Post's maximum liability related to the referral program shall not exceed the amount of unpaid Referral Bonuses for Successful Referrals.

12.2 Training Post is not liable for any indirect, incidental, or consequential damages.

13. Governing Law

These terms and conditions are governed by the laws of England and Wales, without regard to its conflict of law provisions.
